These Terms and Conditions govern the professional relationship between Yunicon Media and Production Pvt. Ltd. ("Yunicon") and any individual or organisation ("Client") that engages Yunicon's services. By engaging Yunicon — verbally, in writing, via a signed proposal, or by making an advance payment — the Client confirms their acceptance of these terms in full.
These terms constitute the binding agreement between Yunicon and the Client for the provision of services. They apply to all engagements including but not limited to branding, advertising, video production, digital marketing, SEO, website development, political marketing, and performance marketing services.
Yunicon provides services as detailed in the project proposal or service agreement issued to the Client prior to commencement. The proposal defines the deliverables, timelines, revision rounds, and total investment for each engagement.
Any work outside the agreed scope — including additional revisions beyond the included rounds, additional deliverables not specified in the original proposal, or services added after the project commences — will be quoted separately and requires written approval from the Client before execution begins.
A non-refundable advance payment of 50% of the total project value is required before any work commences. The remaining balance is due upon delivery of the final approved deliverable, unless alternative terms are agreed in writing prior to engagement.
For monthly retainer engagements, the full monthly fee is due on or before the 1st of each calendar month. Work on retainer accounts will pause where payment is more than 7 days overdue. Yunicon accepts no liability for delays caused by a payment hold.
Invoices not settled within 15 days of the due date attract a late payment charge of 1.5% per month on the outstanding balance, compounding monthly until the amount is settled in full.
All fees are exclusive of GST at 18%, which will be applied to every invoice as required under Indian tax law.
Each package includes a defined number of revision rounds as specified in the proposal. A revision round is defined as a single, consolidated set of feedback submitted in one communication. Multiple fragmented comments submitted separately do not constitute a single revision round and will each be logged individually.
Revisions beyond the included rounds are billed at ₹2,500 per round for standard projects, or as separately quoted for larger engagements. Revision fees are invoiced and must be settled before additional rounds are executed.
All creative work produced by Yunicon — including logos, visual identities, designs, video productions, photographs, written content, digital assets, and website code — remains the intellectual property of Yunicon Media and Production Pvt. Ltd. until full and final payment has been received by Yunicon.
Upon receipt of complete payment, full ownership of the final approved deliverables transfers unconditionally to the Client. Yunicon retains the right to display completed work in its portfolio, case studies, awards submissions, and marketing materials unless the Client formally requests otherwise in writing.
Working files, layered source files, raw production footage, and unedited photography are not included in standard project deliveries unless explicitly agreed and specified in the proposal.
The Client is responsible for:
Delays caused by late client feedback, delayed approvals, or failure to supply required materials on time are not the responsibility of Yunicon and may affect agreed project timelines. Yunicon will not be liable for delays arising from client-side inaction.
Yunicon treats all client information — business details, campaign strategies, creative concepts, financial information, audience data, and any materials shared during an engagement — as strictly confidential. This information is not shared with, sold to, or disclosed to any third party without the Client's explicit written consent.
Clients are similarly expected to treat any proprietary Yunicon methodologies, strategic frameworks, pricing structures, and internal documents shared during the engagement as confidential and not to be replicated, shared, or disclosed externally.
For performance marketing services, the Client's advertising budget (ad spend) is paid directly to the advertising platform — Meta, Google, LinkedIn, or otherwise — by the Client. Yunicon's management and strategy fee is entirely separate from and in addition to the ad spend, and is non-refundable.
Yunicon does not guarantee specific advertising results, as outcomes are influenced by factors outside our direct control — including platform algorithm changes, market conditions, competitive activity, seasonal trends, and audience behaviour. Yunicon guarantees that campaign management will be professional, data-driven, continuously optimised, and fully transparent throughout the engagement.
Either party may terminate a project or retainer engagement with 30 days' written notice delivered via email to the registered contact of the other party.
Upon termination, the Client is liable for payment of all work completed and costs incurred up to the effective date of termination, regardless of whether final deliverables have been received. Where a 50% advance has been paid and the project has not yet commenced, Yunicon will retain a minimum of 20% as an administrative, reservation, and opportunity-cost fee.
Yunicon reserves the right to terminate any engagement immediately — without notice and without refund of any advance payments — in the event that the Client requests work that is illegal, unethical, defamatory, or in violation of any applicable law, platform policy, or regulatory requirement.
Yunicon's total liability to the Client in connection with any engagement shall not exceed the total fees paid by the Client to Yunicon for that specific engagement within the preceding 12 months. Yunicon accepts no liability for any indirect, consequential, incidental, reputational, or loss-of-business damages arising from the services provided, regardless of the nature of the claim.
These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or from a client engagement shall be subject exclusively to the jurisdiction of the competent courts in Nagpur, Maharashtra, India.
Yunicon reserves the right to update these Terms and Conditions at any time. The current and legally binding version is always published at www.yunicon.in/terms. Continuing to engage Yunicon's services after any amendment to these terms constitutes the Client's acceptance of the updated terms in full.
